Company Registration

Devott Service provides four different corporate structures of company registration below which can be utilized to do business in China including:

1. Representative Office (RO) [ + ]

   Representative Office is a liaison organization in the domestic business of parent company and can help the parent company have a basic understanding and gain experience of China market. Usually, choosing RO is the first step for long-term plan or oversees other business operations like distributors.
   
   There is no registered capital required for ROs. But at the same time, ROs have limited rights. ROs are not allowed to directly engage in operational activities and can't issue neither invoice to clients nor receive payments from them. ROs need to though local HR agency to recruit employees.
   
   

2. Joint Venture (JV) with a Chinese partner [ + ]

   Joint Venture (JV) is an entity formed between a Chinese partner and a foreign investor or more to undertake economic activity together for lowing risks and costs and penetrating the specific market or industry.

3. Wholly Foreign Owned Enterprise (WFOE) [ + ]

   The wholly foreign owned enterprise is a limited liability company wholly owned by the foreign investor(s). In recent years, WFOE is a prevailing presence in China and increasingly being used for service providers such as a variety of consulting and management services and software development.
   
   WFOE and JV have similar requirements and rights. The required registered capital starts from 100,000 RMB. WFOE can receive payments from worldwide, open bank account, issue official invoice from China and recruit staff directly.
   
   

4. Foreign Invested Commercial Enterprise (FICE) [ + ]

   Foreign-invested commercial enterprises can distribute imported and locally manufactured products through their own wholesale, retail and franchise systems and to provide a host of related services, including storage, warehousing and garage services, inventory management, repairs, maintenance, training and delivery.
   
   Upon approval a FICE in retail can engage in Retail/Import of self-operation goods/Purchase and export of domestic goods/other related services. A FICE in wholesale can engage in Wholesale/Agency with commission/Import and Export/ other related services. The registered capital for a FICE shall be RMB 500,000.
